PCB NDA: Protecting Design Files Before Manufacturing
Monday, October 19th, 2026

A PCB NDA defines how a manufacturing partner may use and share your confidential circuit board information. It gives the design exchange a clear purpose—such as quotation or production—without treating access to your files as permission to reuse or publish them.

EBest Circuit (Best Technology) supports PCB fabrication, component sourcing, assembly, inspection, and testing. NDA review can take place before you share the complete design package, allowing confidentiality terms and manufacturing needs to be discussed together. Start that conversation at sales@bestpcbs.com.

What Is a PCB NDA?

A PCB NDA is a non-disclosure agreement for confidential PCB or PCBA project information. It identifies the parties, the protected information, and the limits on its disclosure and use.

Protection can extend beyond Gerber files to schematics, BOMs, firmware, test information, and commercial details. The signed wording determines the scope. A one-way NDA addresses disclosure by one party; a mutual NDA addresses confidential exchanges in both directions.

When Should You Sign an NDA Before Sharing PCB Files?

Sign before releasing the confidential information—not just before placing the order. Quotation and design review may already require files that reveal the product.

A limited, non-confidential description can start the discussion. For example, layer count, board material, and the services needed may be enough to establish an initial fit. Detailed pricing or engineering review will need the relevant design data after confidentiality arrangements are in place. If even the product's application is confidential, leave it out of the initial enquiry.

What Should an NDA Cover in PCBA Contract Manufacturing?

The central questions are what information is protected, what it may be used for, and who may receive it. In PCBA contract manufacturing, these details should reflect the actual work, including any separate fabrication, sourcing, or testing partners.

  • Protected information. Identify the design and commercial information within scope, including relevant updates and manufacturing documents derived from it.
  • Permitted use. Define the agreed activity, such as evaluating or manufacturing the specified project. Address reuse for unrelated work rather than leaving the purpose open-ended.
  • Authorized recipients. Set out whether employees or outside partners may receive information and what confidentiality obligations apply to them.
  • Duration and file handling. Address how long obligations last and how information is returned, deleted, or retained when the work ends.

For example, sending a fabrication package to a bare-board supplier is a different disclosure from giving an assembly partner firmware and test instructions. The agreement needs to accommodate the intended exchange without making the full project archive available to every participant. Exclusions and applicable law also need to be settled in the agreement, particularly for cross-border work.

How Are PCB Design Files Protected Beyond the NDA?

The agreement defines obligations; file controls put them into practice. They address different parts of the same problem.

Situation What the NDA can address Practical protection
Sharing with project staff Who is allowed to receive information Limit access to named people involved in the work
Involving another supplier Conditions for onward disclosure Share only the package needed for that task
Closing a project Return, deletion, and agreed retention Remove access and handle stored copies accordingly
Showing a board publicly Restrictions on disclosure or publicity Obtain permission for the specific photo or case content

The same attention applies to working copies. An annotated DFM image or production-panel file can still contain the customer's design. Likewise, removing a logo from a board photograph may leave recognizable part numbers or layout details. A manufacturing approval should not be used as a substitute for publication permission.

Can EBest Circuit Review an NDA Before Receiving Project Files?

Yes—EBest Circuit can review your NDA with you before you share the complete design package.

Start with your confidentiality needs
Already have an NDA template? You’re welcome to send it over. We can work through the terms together so the file exchange starts with a shared understanding.

Get engineering input before production
Once the NDA is agreed, our engineering team can review your PCB and assembly requirements, helping you address manufacturing questions before the build begins.

Bring fabrication and assembly together
EBest Circuit coordinates PCB fabrication, component sourcing, assembly, inspection, and testing within one project, helping reduce the coordination work on your side.

Tell us what you’re planning at sales@bestpcbs.com—a non-confidential project overview is enough to start the conversation.

US PCB Assembly Partners NDA-Protected Projects: A 4-Layer PCB Example

Consider a US-based team developing a portable medical instrument. Its four-layer operator-interface board connects buttons, status indicators, and a display interface to the main controller. The team is looking for an assembly partner that can review the design for manufacturing while keeping the unreleased circuitry confidential.

Example board specifications

Parameter Specification
Application in this scenario Operator-interface board for a portable medical instrument
Layer count 4 layers
Base material FR-4
Board thickness 1.59 mm ±10%
Tg designation TG130
Outer-layer copper 1 oz
Inner-layer copper 0.5 oz
Surface finish ENIG, Au 1 ”in
Solder mask Green
Silkscreen White

FAQs About PCB NDA

Can I use my own NDA with a PCB manufacturer?

Yes, you can submit your template for review. Both parties need to agree to its terms and complete the required signatures before the intended confidential exchange.

Does a PCB NDA transfer ownership of my design?

An NDA is not inherently an ownership transfer. Design rights and manufacturing permissions depend on its wording and any related contracts, so they should be stated expressly rather than inferred from the NDA's title.

How long does a PCB NDA remain in effect?

The agreement sets the duration. The period for sharing information and the period for keeping it confidential may differ; there is no universal term for every PCB project.

Is a PCB NDA a certification?

No. It is a confidentiality agreement, not certification of a factory, board, or medical product. It does not establish manufacturing quality or medical-device compliance.

Is a PCB NDA the same as NDAA compliance?

No. An NDA concerns confidentiality. NDAA refers to the National Defense Authorization Act and its applicable provisions, including procurement requirements. Signing an NDA does not establish NDAA compliance.
